Construction Partners adds Florida site contractor S.E. Cline without disclosing terms
S.E. Cline Construction brings about 60 employees and a permitted, rail-served asphalt plant site in Bunnell into C.W. Roberts Contracting. The filing carries no purchase price, no target revenue and no pro forma figures.

Based on the Form 8-K Exhibit 99.1 press release and the Form 8-K accepted October 19, 2026, both read from SEC EDGAR.
Construction Partners, Inc. has acquired S.E. Cline Construction, Inc., a commercial site-development and underground-utility contractor based in Palm Coast, Florida, and folded the business into its Florida platform company, C.W. Roberts Contracting. The announcement came with approximately 60 employees and a permitted asphalt plant site with rail access in Bunnell, and with no purchase price, target revenue or earnings contribution disclosed.
CPI is assembling its Florida footprint one contractor at a time. The Dothan, Alabama-based road builder said it has acquired S.E. Cline Construction, Inc., a commercial site-development and underground-utility contractor headquartered in Palm Coast, and placed the business inside C.W. Roberts Contracting, the Florida platform company it already owns.
A completed deal filed as a disclosure, not an agreement
The Form 8-K behind the announcement carries Item 7.01, Regulation FD Disclosure, and Item 9.01, Financial Statements and Exhibits. In the filing, CPI says it "issued a press release announcing its completion of an acquisition transaction" and furnishes that release as Exhibit 99.1. EDGAR's document list for the filing contains the 8-K, the release and a graphic, with no purchase agreement, no consideration schedule and no pro forma financial statements attached.
The route matters for anyone trying to value the deal. A filing made under the completion-of-acquisition item would normally disclose the consideration and, for a significant target, its financial statements. This one does not, so the price paid, the multiple of Cline's earnings, the goodwill the transaction creates and its effect on ROAD's per-share results are all absent from what investors can read today. CPI also leaves out Cline's revenue, backlog and margins, and does not say whether the consideration was cash, stock or a mix. The cover page lists Class A common stock, $0.001 par value, as the registered security, which says nothing about whether any shares changed hands in the purchase.
What a permitted plant site adds to a paving platform
CPI describes itself as vertically integrated, with hot-mix asphalt plants, aggregate facilities and liquid asphalt terminals supporting its road construction, repair and maintenance work. In CPI's model, asphalt supply and haul distance drive job-level economics, though the release does not spell that out: a permitted plant with rail service in Bunnell shortens the haul for crews working the Interstate 95 corridor and creates a production base CPI can expand later.
Fred J. (Jule) Smith, III, the company's president and chief executive, tied the purchase to that build-out. "This transaction builds upon our acquisition of P&S Paving, Inc. in Daytona Beach last year", he said, adding that it strengthens CWR's presence along Florida's Interstate 95 corridor. He also said the Bunnell site "provides an attractive opportunity for future vertical integration and organic growth".
The P&S reference is the only comparison the release offers: a second Florida bolt-on in the same corridor, roughly a year apart, with no terms disclosed in this announcement. Because Cline's results are not presented, no year-over-year or sequential financial comparison can be built from this document.
A release dated October 5 inside a filing dated October 19
The dates in the two documents do not line up. The release carries the dateline "DOTHAN, AL, October 5, 2026" and describes the acquisition as announced that day. The 8-K gives October 19, 2026 as the date of the earliest event reported, states that the release was issued that day, and labels Exhibit 99.1 as a press release of the same date. Neither document explains which date is correct.
For a reader, the safer reading is the filed one: CPI reported the completed acquisition on October 19, 2026, and the exhibit's dateline is inconsistent with the filing that carries it. The company's fiscal year ended at the end of September, so the acquired business will first appear in results for the year now under way. The document that would resolve the price is the first Form 10-Q of fiscal 2027, covering the quarter ending December 31, 2026, where a business-combination note would disclose the consideration; the 10-K for the year just ended can at most report the deal as a subsequent event.
What is verifiable now is narrow: a Florida site contractor with approximately 60 employees, a permitted, rail-served asphalt plant site in Bunnell, and a buyer that has now added a second contractor along the same Interstate 95 corridor without disclosing what Cline cost.
