Circle Internet Group (NYSE: CRCL) signed a definitive share purchase agreement on September 4 to acquire Singapore's Tazapay, announcing the transaction and filing its Form 8-K on September 8. The agreement sets an adjusted $400 million stock consideration framework; completion is expected in 2027, subject to customary conditions and regulatory approvals, including from the Monetary Authority of Singapore.

A payments network with an existing stablecoin connection

Tazapay would bring Circle a cross-border business payments platform with local payout rails across more than 100 markets. According to Circle's announcement, Tazapay had more than $25 billion in annualized payment volume and more than 60 banking and fintech partners as of July 31, 2026. Those are company-reported operating measures, not revenue or a forecast of what Circle will earn from the transaction.

Circle also said roughly 60% of Tazapay's transaction volume already includes stablecoins. The strategic implication is a closer connection between Circle's payments and USDC infrastructure and the local rails businesses use to send and receive money in Asia-Pacific and emerging markets. The announcement does not establish that all of that stablecoin-linked volume uses USDC or will become incremental Circle volume. Tazapay has been a Circle Payments Network design partner since 2025, according to the announcement.

The share count will be determined near closing

Circle's indirect wholly owned subsidiary Taurus Acquisition Inc. agreed to acquire all outstanding Tazapay shares it and its affiliates do not already hold. Consideration consists of Circle Class A common shares. The $400 million amount is adjusted for unpaid indebtedness, Tazapay transaction expenses and cash at Tazapay and its subsidiaries, then divided by the Closing Stock Price and rounded down to whole shares.

That price is the volume-weighted average over the 20 consecutive trading days ending on the trading day immediately before closing. Consequently, the agreement does not yet fix the number of shares Circle will issue. For a given adjusted consideration amount, a lower reference price would require more shares and a higher reference price fewer.

Holdbacks extend beyond completion

The agreement holds back 5% of aggregate consideration as Indemnity Holdback Shares and another 3% as Indemnity Additional Holdback Shares. Sellers have no voting or economic rights in those shares until release. Subject to claims, the first pool is released in thirds six, twelve and eighteen months after closing; each tranche is valued using the 20-day VWAP preceding release. The additional pool is released in quarters twelve, twenty-four, thirty-six and forty-eight months after closing, subject to claims. Unused shares are released pro rata.

These provisions make the headline consideration an incomplete guide to the timing of sellers' access to shares. The filing also says the consideration shares will initially be issued in an unregistered offering under the specified U.S. private-placement and offshore exemptions.

Approval and execution remain ahead

The expected 2027 closing is a timetable, not a completed acquisition or evidence of MAS approval. Investors should watch for regulatory decisions, satisfaction of closing conditions, the final consideration adjustments and the reference share price that determines issuance.

Circle's announcement says Tazapay customers should expect no disruption to service, APIs, pricing or support. That is the company's stated expectation. The operating test will be whether the combination can make cross-border payments easier to originate and deliver while maintaining that continuity; the announcement does not quantify incremental Circle revenue, cost savings or USDC volume.

Final share issuance and payment economics remain unknown

The disclosure does not establish a final closing date, regulatory approval, the adjusted consideration amount, the closing share count, or quantified revenue and cost benefits. Stablecoin-linked Tazapay volume is not identified as entirely USDC volume.
