Cheniere Partners lifts quarterly distribution to $0.890 as variable portion more than doubles

The third-quarter payout rises from $0.820 per unit last quarter and $0.830 a year earlier. The $0.775 base is unchanged, so the entire increase sits in the variable amount, which goes to $0.115 from $0.045.

What “Source checked” means

CQPLatest quote

Cheniere Energy Partners, L.P. declared a third-quarter cash distribution of $0.890 per common unit, payable November 13 to unitholders of record on November 3. The payout is 8.54% above the $0.820 declared for the second quarter and 7.23% above the $0.830 declared a year earlier, and the filing itself is the thing to be clear about: an other-events notice of a distribution, not a third-quarter earnings report.

The filing is a current report on Form 8-K under Item 8.01, the catch-all other-events item, and its exhibit is a news release headed "Cheniere Partners Declares Quarterly Distributions". It carries no revenue, no earnings, no distributable cash flow, no unit count, no guidance and no investor call. The only financial report it directs readers to is the partnership's Form 10-Q for the quarter ended June 30, 2026, which is the June quarter rather than the September quarter. Anyone waiting on third-quarter EBITDA, Sabine Pass cargo volumes or distribution coverage will not find those numbers here; they require a separate results filing that had not appeared as of this notice.

The base holds at $0.775 while the variable does the work

The base amount has not moved. It is $0.775 per common unit in this declaration, the same $0.775 per common unit in the second-quarter declaration dated July 28, 2026, and the same in the year-earlier declaration dated October 28, 2025. The declared totals were $0.820 per common unit in the second quarter and $0.830 per common unit a year earlier, with variable portions of $0.045 per common unit and $0.055 per common unit respectively. This quarter's variable amount is $0.115 per common unit, more than double either figure. Because the base is identical across all three, the entire 8.54% sequential increase and the entire 7.23% year-over-year increase come from the variable component. The release does not explain what produced it. There is no distributable cash flow figure, no coverage ratio and no statement about reserves, so the cause of the larger variable amount has to be established from the partnership's quarterly report rather than inferred from the notice. The release also refers to "the related distribution to its general partner" without quantifying it.

A tax notice aimed at nominees, not a distribution table

Much of the document is withholding mechanics rather than payout news. The partnership writes that the release "serves as qualified notice to nominees as provided for under Treasury Regulation Section 1.1446-4 and 1.446(f)-4", and it tells those nominees that 100 percent of distributions to foreign investors is attributable to income effectively connected with a US trade or business, that withholding applies at the highest applicable effective tax rate, and that 100 percent of distributions to foreign investors is in excess of cumulative net income for purposes of Treasury Regulation Section 1.1446(f)-4(c)(2)(iii). Nominees are treated as withholding agents responsible for distributions they receive on behalf of foreign investors, which means the amount a foreign holder receives is net of that withholding rather than the gross figure declared. For a partnership that markets itself to income buyers, that detail travels with every quarterly declaration.

The next dated document is the September-quarter 10-Q

What follows this notice is the Form 10-Q for the quarter ended September 30, 2026. The partnership's EDGAR filing list shows its most recent Item 2.02 report, the form item for results of operations, dated August 6, 2026, which lines up with second-quarter results; nothing on the list covers the September quarter. A year earlier the comparable report was an Item 2.02 current report dated October 30, 2025, two days after the year-earlier distribution notice. That is the cadence to watch again: the distribution declaration lands first, the results filing follows within days. Until then, the $0.890 declared here is the only September-quarter figure the partnership has published, and it is a payout, not a measure of the cash generated to support it.
