CORLatest quote

Cencora, Inc. said October 21 that it signed a definitive agreement to acquire American Oncology Network, a physician-led network of more than 350 oncology providers across 21 states whose shares trade on OTCQX under the ticker AONC, in a transaction that values AON at a $2.4 billion enterprise value. The structure is $2.3 billion at closing plus contingent value rights of up to $100 million. Cencora, an AON investor since 2020 that already holds approximately 4% of the company, expects to pay about $1.7 billion at closing to reach 75% ownership if stockholders roll over the maximum 25%. Separately, the company raised the floor of its fiscal 2026 adjusted diluted earnings per share outlook to at least $17.90.

A price split between closing cash and contingent rights

AON's enterprise value is not all cash at signing. Cencora said the $2.4 billion consists of $2.3 billion at closing and contingent value rights capped at $100 million that pay only if certain conditions are satisfied, terms the release does not itemize. The ownership mechanics matter as much as the headline number: Cencora has been an AON investor since 2020 and already holds approximately 4% of its equity interests, so it is buying only the interests it does not currently own. If certain AON stockholders roll over equity representing as much as 25% of the company, Cencora expects to pay about $1.7 billion and lift its ownership to 75%. Cencora frames the purchase as an extension of its physician-led management-services organization, "expanding presence across twelve additional states". Chief Executive Robert P. Mauch said the acquisition will "expand our physician-led oncology MSO and support of care in communities across the country". The report was filed under Items 2.02 and 7.01, with the announcement carried as Exhibit 99.1, and, despite the Item 2.02 designation, the filing contains no quarterly results, only the deal and guidance release. Cencora also said it expects the transaction to add to adjusted diluted EPS in the second year after closing.

Guidance floor moves to the top of a closed fiscal year

The same release carried a profit update that stands apart from the deal. Cencora now expects fiscal 2026 adjusted diluted earnings per share of at least $17.90, which it called the high end of its previous range of $17.75 to $17.95, citing the strength of its U.S. Healthcare Solutions reportable segment. Cencora's fiscal year ends September 30, so fiscal 2026 had already closed as a period when the release went out, and the company cautions that its closing procedures for the full year are not complete and that actual results may change as those procedures, final adjustments and management's review conclude. Adjusted EPS is a non-GAAP measure, and the company does not reconcile it to GAAP on a forward-looking basis, saying the relevant items cannot be estimated without unreasonable effort. The fiscal fourth-quarter 2026 earnings call on November 4, 2026 is where the release says Cencora will discuss its expectations for fiscal 2027, and the fourth-quarter report is where the full fiscal 2026 figures behind the $17.90 number land; the release does not say the AON transaction will be discussed on that call.

What the announcement leaves unpriced

The exhibit supplies the price but not the multiple. It gives no AON revenue, EBITDA or profit figure, so the $2.4 billion cannot be measured against AON's own earnings from this document, and Cencora does not say how it will fund the cash portion. Closing depends on customary conditions, including regulatory clearances and AON stockholder approvals; AON's board approved the agreement on the unanimous recommendation of a special committee of independent and disinterested directors, and no expected closing date appears. The contingent value rights are the gap between the $2.3 billion paid at closing and the $2.4 billion headline, which makes their conditions the first item to read when the merger agreement is filed with the SEC as an exhibit.
