Bumble Agrees to Be Acquired by Ithaca for $1.3 Billion at $6.05 a Share in Cash
Monday's reported talks are now a signed merger agreement. Shareholder approval is already secured by written consent, so the remaining path runs through antitrust clearance and an information statement — not another vote.

The definitive agreement, the 1.3 billion dollar transaction value, the 6.05 dollars per Class A share in cash, the premiums of about 138 percent to the unaffected October 9 close and about 119 percent to the 30-day volume-weighted average price, the special-committee process, the unanimous board approval with Whitney Wolfe Herd recused, the written consent from affiliates of Blackstone and of Wolfe Herd, the plan for Ravi Gupta and John Hegeman to become co-chief executives on closing, the Austin base, and the plan to file the third-quarter Form 10-Q by November 9 with no earnings release or call come from Bumble's announcement on October 13, read in full. The merger mechanics — the agreement date of October 12, the nominal Class B price and operating-partnership unit treatment, the treatment of options and restricted stock units, the closing conditions including antitrust clearance and the information-statement mailing plus 20 days, the absence of a financing condition, the Greenoaks equity commitment, the Wolfe Herd rollover, the July 12, 2027 end date, the 29 million dollar company termination fee and the 102 million dollar parent termination fee — come from Bumble's Form 8-K filed with the SEC. The market reaction (shares up about 56 percent to 5.95 dollars in early trading Tuesday after about 50 percent on Monday), the fall of 16.4 percent in paying users to 3.2 million in the second quarter, the nearly two years of declining quarterly revenue, and the market value of about 582 million dollars at Monday's close against about 14 billion dollars at the 2021 public debut come from Reuters reporting on October 13, read in full through a syndicated republication. No expected closing date has been announced; the July 2027 date in the filing is a termination backstop, not a closing target.
As of Tuesday, Oct. 13, 2026, afternoon Eastern Time.
Bumble said on Tuesday that it has entered into a definitive agreement to be acquired by Ithaca Holdings in an all-cash transaction valuing the dating-app company at $1.3 billion, with Class A shareholders to receive $6.05 per share.
The announcement converts Monday's reporting — advanced talks at a valuation around $1 billion — into a priced, signed deal a day later. The $6.05 per share cash price is a premium of about 138% to Bumble's unaffected closing price on October 9, the last close before news of the talks broke, and about 119% to the 30-day volume-weighted average price to that date. Bumble shares rose about 56% to $5.95 in early trading on Tuesday, just below the offer price, after gaining about 50% on Monday on the talks reports.
Approval is already in hand
The deal was run through an independent special committee of Bumble's board, which evaluated strategic alternatives with its own legal and financial advisers and recommended the transaction; the full board then approved it unanimously, with founder and chief executive Whitney Wolfe Herd recused from the deliberations and the vote. Immediately after the agreement was signed, affiliates of Blackstone and of Wolfe Herd delivered a written consent approving the deal, which Bumble's Form 8-K says provides the required stockholder approval — no further shareholder action is needed to complete the mergers. Remaining shareholders will receive an information statement under Delaware law and the federal securities laws.
Wolfe Herd is not cashing out. She and an affiliated entity signed a rollover agreement to contribute Class A shares to an Ithaca subsidiary in exchange for equity there, so those shares will not receive the $6.05 price, and she says she will remain actively involved with the company. On closing, Ithaca co-chief executives Ravi Gupta and John Hegeman will become Bumble's co-chief executives and work alongside her. Bumble will operate as a privately held company, expected to remain based in Austin, with offices in London and New York City as well.
The contract terms underneath the headline
The Form 8-K, which reports a merger agreement dated October 12, fills in the mechanics the press release leaves out. Class B shares convert into a nominal $0.000001 in cash, and each unit of Bumble's operating partnership converts into cash equal to the difference between the Class A and Class B prices. Stock options are cancelled for no consideration; vested restricted stock units are cashed out at the $6.05 price, while unvested units convert into contingent cash amounts that keep their original vesting schedules. The agreement contains no financing condition, and an equity commitment letter from Greenoaks Prime Radiant LP supports the buyer side.
Either side can walk away if the deal has not closed by July 12, 2027. A $29 million termination fee applies to Bumble in specified circumstances set out in the filing, and Ithaca owes a $102 million parent termination fee in specified circumstances, including a failure to close when required — an amount that must be placed in escrow by October 19, 2026. Bumble is bound by a customary no-shop clause restricting it from soliciting rival acquisition proposals.
Why a 138% premium still lands at $1.3 billion
The premium is large because the starting price was small. Bumble's paying users fell 16.4% to 3.2 million in the second quarter, its quarterly revenue has been shrinking for nearly two years, and its market value had fallen to about $582 million by Monday's close — a fraction of the roughly $14 billion valuation it carried when it went public in 2021, as Reuters reported on Tuesday. Wolfe Herd returned as chief executive in March 2025 after stepping down in 2023, and the company has since tried price increases, product changes and new artificial-intelligence tools to restart growth; the special committee's process is the board's answer to why a sale, at this price, beats continuing that turnaround in public.
What remains unknown
What remains unknown is mainly timing and texture: when the Hart-Scott-Rodino antitrust waiting period and the other governmental approvals clear, when the Schedule 14C information statement is mailed — closing cannot complete until 20 days after that mailing — and whether any litigation over the deal materialises, a risk the company's own forward-looking disclosures flag. Bumble has also said it will file its third-quarter Form 10-Q by November 9 but will not issue a separate earnings release or hold a conference call for the quarter, so the filing will be the next detailed look at the business Ithaca is buying. The price, the approval and the leadership plan are settled. The calendar is not.
