Brown & Brown director leaves board to become City of London Lord Mayor
Bronislaw E. Masojada, 64, a director since 2023 and one of 12 independent members, left the board and its audit and compensation committees on October 21. Neither committee loses its chair; the filing names no successor.

Written from Brown & Brown's Form 8-K covering the October 21, 2026 board resignation and its 2026 proxy statement for board, committee and director-pay detail.
Brown & Brown director Bronislaw E. Masojada resigned from the board and from its audit and compensation committees on October 21, effective immediately, because of the 698th Lord Mayor of the City of London role he takes up in November 2026. The insurer's Form 8-K, filed October 22, says the departure was not due to a disagreement over operations, policies or practices, and it names no replacement.
The resignation sits under Item 5.02 of Form 8-K, the provision reserved for officer and director changes. The filing carries one item, a director and officer change under Item 5.02, and no exhibit, so the company statement is the filing text itself rather than a press release.
A Hiscox veteran exits two committees
Masojada, 64, has served on Brown & Brown's board since 2023, according to the company's 2026 proxy statement, which counted 12 of its 14 director nominees as independent. He ran Hiscox Group, the London-listed specialist insurer, as chief executive from 2000 until retiring in 2021, chairs SiriusPoint Ltd., and brings a municipal pedigree the proxy spells out: "He is an Alderman of the City of London and previously served as a Sheriff of the City of London."
On the audit committee he sat with chairman Jaymin B. Patel, James S. Hunt, Paul J. Krump and Kathleen A. Savio; on the compensation committee he sat with chairman Lawrence L. Gellerstedt III, Toni Jennings and Savio. Both committees met six times in 2025. The audit committee keeps both of the members the proxy identifies as audit committee financial experts, Hunt and Patel, and neither committee chair is affected by the exit.
A mayoralty that requires a clean break
The 8-K attributes the departure to "obligations associated with his election to serve as the 698th Lord Mayor of the City of London beginning in November 2026", and records that he left the board and each committee "in each case effective immediately".
Brown & Brown's own governance disclosures give the move a wider frame. The proxy says the board has not imposed a retirement age, stating that "we have not established a mandatory retirement age or other term limits", and it requires that "any director who has a job change must submit a letter of resignation resigning from the Board" so the board can weigh continued membership. The 8-K records an immediate resignation and says nothing about a board review of his seat, so the filing does not establish how that policy was applied here.
What the document does settle is motive. The resignation "was not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices." That removes the usual read-through for shareholders, who treat an abrupt director exit as a signal mainly when it arrives alongside a dispute.
A smaller board, with the same committee chairs
The 2026 proxy put 14 directors up for reelection to terms expiring at the 2027 annual meeting, which leaves a 13-member board after October 21. There is no announcement of a replacement, no statement that the board will stay smaller permanently, and no word on whether the audit and compensation seats will be refilled.
Pay records add scale but not motive. Masojada received $247,462 in 2025 director compensation, made up of $107,500 in fees and $139,962 in stock awards, according to the proxy's director compensation table. After the 2025 annual meeting the board raised the annual cash retainer for non-employee directors to $110,000 from $100,000 and the annual grant of fully vested common stock to $140,000 from $120,000; because those shares vest on grant, a mid-year exit leaves no forfeiture schedule for the filing to explain.
The 2027 ballot is the next checkpoint
Every Brown & Brown seat comes up at the 2027 annual meeting, so shareholders will vote on the board's full composition then, whether or not a replacement is appointed in the interim. Until a new director is named, the audit committee has four members and the compensation committee three, both still led by the same chairs.
The financial read-through is close to nil: no revenue, margin, guidance or capital figure appears in this filing, and no earnings estimate turns on a board seat. What changed is composition — an independent director with insurance-industry and City of London experience is gone, and the company has not said who, if anyone, fills the vacancy.
