Boston Beer shipped about 1.8 million barrels in the third quarter, 4.9% fewer than a year earlier, and net revenue of $520.1 million came in 3.2% below the prior-year quarter. Gross margin expanded 90 basis points to 51.7%, but GAAP diluted income per share slipped to $4.21 from $4.25, and nine months of results now carry a $194.5 million litigation charge tied to a supplier dispute the company is still appealing.

Depletions, the industry measure of distributor sales to retailers, fell 5% from a year earlier. Boston Beer attributed the shipment decline to Twisted Tea, Truly and Samuel Adams, partly offset by growth in Sun Cruiser and Angry Orchard. Revenue fell less than volume because favorable product mix and pricing absorbed part of the loss. Chief Executive Jim Koch framed the quarter around execution rather than recovery: “The demand environment remains challenging, and we are prioritizing actions within our control to strengthen our business and improve market share trends”. Boston Beer disclosed the figures in a Form 8-K filed Thursday under Item 2.02, results of operations and financial condition.

Margin gains outrun the volume decline

Gross margin rose to 51.7% from 50.8%, an increase of 90 basis points, on favorable product mix, price increases, procurement savings and improved brewery efficiencies, partly offset by inflationary commodity and tariff costs. The quarter absorbed $1.6 million of shortfall fees and non-cash expense on third-party production pre-payments, which cut gross margin by roughly 31 basis points on an absolute basis. Operating costs were contained: advertising, promotional and selling expense was flat year over year as $9.5 million of higher freight costs were offset by a $9.0 million reduction in advertising spend, and general and administrative expense fell $2.1 million on lower salary and benefit costs. Distributor inventories ended the quarter at about four weeks on hand, below the four and a half weeks reported at the end of September 2025.

A supplier judgment turns the year into a GAAP loss

Third-quarter GAAP diluted income per share of $4.21 included $0.16 per share of non-recurring litigation expense; non-GAAP diluted earnings per share were $4.37. The distortion is concentrated in the nine-month figures. Litigation expense of $194.5 million consists of a $175.5 million judgment, $15.5 million of pre-judgment interest and $3.5 million of post-judgment interest. Combined with $5.8 million of related legal fees booked in general and administrative expense, the after-tax impact was $14.51 per share. Year-to-date net loss was $50.53 million, or $4.87 per diluted share, against net income of $131 million, or $11.82 per diluted share, in the comparable 2025 period; the statements present those totals in thousands. Non-GAAP diluted earnings per share for the nine months were $9.64. Boston Beer continues to deny that it breached the supplier contract and says it “intends to pursue all available post-trial motions and appellate remedies.” Post-judgment interest accrues at a statutory rate estimated at 3.79% on the combined $191.0 million of judgment and pre-judgment interest, and the company said it cannot estimate when or whether damages will be paid.

Guidance moves at the low end while the volume outlook narrows

Boston Beer raised the floor of its full-year gross margin range to 49% to 50% from 48.5% to 50%, and lifted the bottom of non-GAAP earnings per share guidance to $9.00 to $10.50 from $8.50 to $10.50. It cut projected tariff costs to $18 to $22 and capital spending to $55 to $70, from $20 to $30 and $60 to $80 respectively; those ranges are stated in millions of dollars. The volume forecast moved the other way: depletions and shipments are now expected to decline in the mid-single digits, versus a prior range of low-single to mid-single-digit declines. GAAP earnings per share guidance is a loss of $4.26 to $5.76. Interim finance chief Matt Murphy tied the revision to cost work: “We delivered strong gross margin expansion and are raising the low end of our gross margin and earnings guidance, while managing through a dynamic consumer demand and input cost environment”.

Liquidity carries the judgment. The company ended the quarter with $308.1 million of cash and no debt, alongside an unused $150 million line of credit that it said should fund future requirements including potential litigation payments. Share repurchases totaled $79.5 million between Dec. 28 and Oct. 16, leaving about $149 million available under a $1.6 billion authorization. Management expects modest shipment growth in the fourth quarter and plans to issue 2027 guidance on its February 2027 earnings call, the next dated checkpoint for whether margin gains can outlast another year of falling volume.
