Blackstone director Joseph Baratta to leave board December 31 as seats drop to seven
The Form 8-K filed October 15 says Baratta gave notice on October 9 and that the board will shrink from eight members to seven once his resignation takes effect.

Blackstone Inc. director Joseph Baratta notified the board on October 9, 2026 that he intends to resign effective December 31, 2026, and the company said the board will shrink from eight members to seven on that date. The Form 8-K filed October 15 ties the move to his planned retirement from the firm and says he will serve until the effective date. The filing carries no financial results, no assets under management and no statement from Baratta.
The notice is short enough to read in a minute, and most of what a shareholder might want to know about the change is absent from it. What it does contain is a date, a reason described as retirement, and a seat count.
A filing with one item and no exhibit
EDGAR's index for the submission lists a single document format file, the Form 8-K itself, alongside the XBRL data files that current reports carry. There is no press release exhibit, no investor presentation and no letter from Baratta. The substantive text sits entirely under Item 5.02, the item reserved for director and officer departures, elections, appointments and compensatory arrangements, and within that item it addresses the departure paragraph only. Nothing in the document discusses quarterly results, assets under management, fundraising or fee-related earnings, and nothing in it is a forecast. The report is signed by Victoria Portnoy, a managing director and assistant secretary, the administrative signatory pattern of a current report rather than a statement from a chief executive or from the departing director. This is a governance notice, not a results release, and a reader scanning for operating trends will not find them here.
Seven seats after the effective date
The mechanics are explicit. Baratta's resignation does not read as a vacancy Blackstone intends to fill; the board simply contracts. The filing says "the size of the Board will be reduced from eight members to seven members" as of the effective date, so the notice removes one seat without naming a successor, and it adds that Baratta keeps his seat until then. A seven-member board still handles audit, compensation and conflicts questions, so the practical change is in the arithmetic of close votes and in how the remaining directors divide that work. The notice says nothing about committee roles, about whether a replacement was considered, or about any separation, consulting or advisory arrangement attached to the retirement. It also does not describe Baratta's position inside the firm beyond his directorship, so what the document establishes is that a director is leaving, on a stated date, for the reason it cites.
The date that would carry the next disclosure
Two other documents, not this one, would answer the open questions. If Blackstone elects or appoints a director, that would surface in a later Form 8-K under the same item, which is where a new director's identity, committee assignments and compensatory terms belong. The proxy statement for the company's next annual meeting would then show whether the board stays at seven or returns to eight. Until December 31, the filing's own account is that Baratta remains a director, so any vote taken before that date carries the current membership. The retirement itself is described without a date of its own, which leaves the board departure as the only dated event in the notice.
