Covers Biohaven's Form 8-K filed October 15, 2026 and the October 8, 2026 press release and collaboration and license agreement attached to it.
Biohaven Ltd. has licensed its MoDE pan IgG degrader portfolio for Japan, South Korea, Taiwan and the ASEAN countries to Ono Pharmaceutical Co., Ltd., a deal that pays Biohaven $80 million upfront and another $20 million if Ono continues the program after stability tests, for up to $100 million in near-term payments. The company keeps the portfolio's rights in the United States, Europe and China.
Biohaven Ltd. disclosed the agreement in a Form 8-K filed October 15, 2026, which reports a material definitive agreement and a Regulation FD disclosure. The press release it carries is dated October 8, 2026, the day the New Haven drug developer and Ono Pharmaceutical Co., Ltd. of Osaka signed the collaboration and license agreement.
Two payments, and the second one can disappear
Ono pays "a one-time, non-creditable and non-refundable upfront payment of $80 million upon closing" and "another $20 million upon a milestone achievement", the filing states. The second payment is more conditional than that wording suggests. The filed license agreement makes the $20 million due only after Ono receives the stability test results and elects to keep developing and commercializing the compounds; if Ono instead tells Biohaven it will not continue, "this Agreement shall terminate immediately and Ono shall not be required to pay the Development Milestone Payment to Biohaven". The two amounts sum to $100 million, the total behind the release's "up to $100 million in near-term payments". The agreement discloses no sales-based milestones, so this near-term cash is everything Biohaven has quantified ahead of royalties.
Royalties near 20 percent, with the mechanics blacked out
Once products sell, Ono pays "royalties of approximately 20% on net sales of licensed products in the Licensed Territory, subject to specified reductions and adjustments", the filing says. Royalties accrue product by product and country by country until the latest of regulatory exclusivity, the last valid patent claim, or nine years after the first commercial sale in that country. The confidentiality brackets in the filed agreement cover the royalty rate itself along with the reduction percentages, so how far generic entry or third-party patent licenses can cut the rate is not public. The agreement does cap aggregate reductions in any quarter, and that figure is redacted as well.
Biohaven keeps the largest markets
The exclusive license covers Japan, South Korea, Taiwan and the ASEAN member states for BHV-1300, BHV-1310 and BHV-1320. Biohaven says it retains "all rights to the MoDE IgG degrader portfolio outside of the licensed territory", which leaves the United States, Europe and China with the company. Ono carries development, regulatory and commercial work in its territory at its own expense under a commercially reasonable efforts standard, while Biohaven continues specified ongoing studies and shares costs of global clinical work. Both parties accept limits on competing IgG degraders, and Ono holds a right of first negotiation on certain follow-on compounds. Ono may terminate for convenience on prior written notice, and Biohaven has separate termination rights that include patent challenges.
The Yale chemistry behind the license
The degraders are designed to send IgG1, IgG2 and IgG4 to the liver through the asialoglycoprotein receptor, sparing IgG3, and the release says Phase 1 studies reduced total IgG by as much as 87%, with dosing given by autoinjector. BHV-1300 is the lead asset, in a pivotal Phase 3 trial in Graves' disease. The technology comes from the laboratory of Dr. David Spiegel at Yale University, and the agreement is subject to an upstream Yale license dated January 1, 2021. "Ono will be the ideal partner to bring this innovative immune-modulating technology to patients across Japan and key Asian markets." Chief Executive Vlad Coric said. Toichi Takino, Ono's president and chief operating officer, said the collaboration serves one of his company's focus areas: "we aim to strengthen our late-stage pipeline in the immunology and inflammation field".
No quarterly results here, and one dated checkpoint
This is a licensing filing, not an earnings report. It contains no revenue, no per-share figure and no financial statements, and the exhibit list holds only the license agreement and the press release, so these documents contain no prior-period quarter against which to measure the deal; the payments are the only financial measures the filing supports. The next hard checkpoint is the stability test result and Ono's continuation decision, which the release ties to a milestone "anticipated within a year" of the October 8 signing. Before any product reaches a market, Ono can also end the arrangement for convenience, leaving Biohaven with the upfront payment and no royalties.
