What the Form 4 shows
The Form 4 (AccNo 0001193125-26-397059) lists Berkshire Hathaway Inc. and Warren E. Buffett as reporting persons and Lennar Corp. as the issuer (NYSE: LEN and LEN.B). Both reporting persons checked the box identifying themselves as 10 percent owners. The period of report is September 17, 2026; the filing was accepted the evening of September 21.
Across September 17, 18 and 21, Berkshire subsidiaries purchased 2,668,508 shares of Lennar Class A common stock in open-market transactions coded “P,” for a notional amount of about $207 million at a weighted-average price near $77.46. After those buys, the filing shows beneficial ownership of 23,719,109 Class A shares held indirectly through Berkshire insurance subsidiaries.
Over the same dates, the same reporting chain purchased 75,021 shares of Lennar Class B common stock for about $5.7 million, bringing Class B beneficial ownership to 528,217 shares.
How the stake is held
Footnote F1 allocates the 23,719,109 Class A shares among Berkshire subsidiaries: National Indemnity Company (12,366,349), BHG Life Insurance Company (3,625,000), AZGUARD Insurance Company (3,098,000), Medical Protective Company (2,216,760), WestGUARD Insurance Company (1,218,000) and NorGUARD Insurance Company (1,195,000). Footnote F2 places the 528,217 Class B shares at AZGUARD (252,589) and National Indemnity (275,628).
Berkshire sits in the ownership chain of each subsidiary and may be deemed to beneficially own the shares. Buffett, as Berkshire’s controlling stockholder, may be deemed a beneficial owner only to the extent of his pecuniary interest and expressly disclaims beneficial ownership beyond that interest.
Weighted-average prices on the Form 4 are ranges. For example, the largest Class A block — 1,218,429 shares on September 18 — carried a $76.39 weighted average inside a $75.72–$76.72 band, with Berkshire undertaking to provide share counts at each price on request.
What the filing does not settle
The Form 4 does not state Lennar’s Class A or Class B shares outstanding on the trade dates, does not compute an ownership percentage, and does not describe an investment thesis. It also does not say whether this is Berkshire’s first 10 percent filing in Lennar or a continuing update by an existing 10 percent filer. Section 16 status here rests on the checked 10 percent-owner boxes and the reported share counts, not on an outside percentage calculation.
For scale only, Lennar’s May 31, 2026 Form 10-Q reported weighted-average basic shares outstanding of about 242.6 million for the six months ended May 31, 2026 — a figure that is not a Form 4 ownership percentage and is not a substitute for Class B voting economics.
What the Form 4 does not settle
This Form 4 does not publish Lennar’s Class A or Class B shares outstanding on the trade dates, does not state voting power, and does not say whether Berkshire newly crossed a 10 percent threshold or is updating an existing 10 percent filing. Any percentage inferred from other filings is context only and is not part of the Form 4’s operative disclosure.
