Exhibit 99.1 is the company press release on the $330 million Berkshire Hathaway investment. Also checked: same-day reporting by Reuters and CNBC, and the company's July 2, 2026 announcement of the closing of its initial public offering.
The private placement terms (10 million ordinary shares at $33 each, about $330 million before offering expenses, use of proceeds, expected fourth-quarter 2026 closing, registration rights) are from Bending Spoons' Oct. 14, 2026 Form 6-K and press release. Berkshire's 4% stake and earlier $600 million IPO investment are from the company's release. The $29 IPO price and July 1 trading start are from Bending Spoons' July 2, 2026 IPO closing announcement. The Wednesday share move, $51.10 price and LSEG investor ranking are from Reuters' Oct. 14 report; CNBC's same-day report corroborates the move, the deal terms and Greg Abel's succession of Warren Buffett. The 14% premium to the IPO price and the roughly $930 million combined commitment are TickerGrove arithmetic on those disclosed figures.
Berkshire Hathaway is buying 10 million newly issued Bending Spoons shares at $33 each, a roughly $330 million private placement that lifts the conglomerate's stake in the owner of Vimeo, AOL and Evernote to 4%, the company said Wednesday.
A second check, three months after the IPO
Bending Spoons, the Milan-based buyer of consumer software brands that listed on the Nasdaq in July under the ticker BSP, disclosed the binding agreement in a press release and a Form 6-K filed with the Securities and Exchange Commission on Oct. 14. Berkshire will buy 10 million newly issued ordinary shares at $33 each, giving the company about $330 million before offering expenses. Bending Spoons expects the deal to close in the fourth quarter of 2026, subject to customary conditions.
The purchase builds on the $600 million Berkshire put into Bending Spoons' initial public offering. That offering was priced at $29 a share, and the stock began trading on July 1, according to the company's closing announcement. The new price sits about 14% above the IPO level, and the two purchases together put Berkshire's commitment at roughly $930 million.
The market treated the filing as an endorsement. Bending Spoons shares rallied about 34% on Wednesday and jumped to $51.10, according to Reuters, which cited LSEG data ranking Berkshire as the company's sixth-largest investor once the purchase is complete. CNBC, which put the gain at 35%, tied the move to the new securities filing. Either way, the agreed $33 price sits well below where the stock traded once the news was public.
What the money is meant to buy
Bending Spoons said it intends to use the net proceeds for general corporate purposes and to invest in new acquisitions. That is the core of its model: buy digital businesses, overhaul their teams, technology and monetization, and reinvest the earnings in the next deal. Its main businesses include Airtable, AOL, Brightcove, Eventbrite, Evernote, Tractive, Vimeo and WeTransfer, and the company says it has never sold a material business. At the time of its IPO, it said it served more than 500 million monthly active users and more than 9 million monthly paying customers as of March 2026.
Francesco Patarnello, co-founder and head of business acquisitions, said the company "continuously evaluates M&A opportunities, and our pipeline remains strong," and that Berkshire's money would "further enhance our financial flexibility and ability to pursue attractive acquisitions." Chief executive Luca Ferrari called Berkshire "a longstanding inspiration for Bending Spoons."
The shares are being sold privately under an exemption from SEC registration rather than through a marketed offering. The 6-K says the subscription agreement will include customary registration rights for Berkshire, which typically let an investor resell restricted stock later through a registered sale.
Why one buyer can move this stock
Berkshire's purchases are tracked closely by traders, which helps explain the size of Wednesday's move. Under Greg Abel, who took over as chief executive from Warren Buffett at the start of the year, Berkshire has increased its exposure to technology and AI, with Alphabet becoming its third-largest common stock holding and Apple still among its largest. A second, privately negotiated purchase in a company that has been public for barely three months suggests the IPO allocation was not a one-off position.
For Bending Spoons, the cash matters as much as the name attached to it. A company that grows by buying other companies needs ready capital, and selling stock to a single long-term holder at a fixed price adds roughly $330 million to its acquisition budget without a broad market offering. The trade-off is dilution: existing shareholders will own a smaller share of the company once the 10 million new shares are issued.
The company has not named any acquisition targets. Until it does, the filing tells investors two things: Bending Spoons has more money to spend on deals, and Berkshire under its new leadership is willing to add to a young technology holding.
