AutoNation, Inc. Form 8-K filed October 16, 2026 (Item 5.02 appointment disclosure, Item 7.01 Regulation FD exhibit and the exhibit inventory) and the press release furnished as Exhibit 99.1, both retrieved from SEC EDGAR.
Reporting as of October 16, 2026, based on AutoNation's Form 8-K filed that morning and the press release furnished as its Exhibit 99.1.
AutoNation expanded its board to ten directors and appointed Mark Stewart, the chief executive of The Goodyear Tire & Rubber Company, as an independent director effective October 13, 2026, according to the current report the company filed with the Securities and Exchange Commission on October 16, 2026. The same filing sets an annual Board retainer of $50,000 for the seat, prorated for 2026 based on time served.
The appointment adds a supplier and manufacturing operator to the board of one of the largest automotive retailers in the United States, and it arrives through a filing that treats the change as a governance matter rather than a results event: the Form 8-K reports an appointment of a director and furnishes a press release, and it carries no financial statements.
A tenth seat filled from the supplier and manufacturing side
Stewart has served as chief executive officer and president of Goodyear and as a member of its board since January 2024, according to the press release AutoNation furnished with the filing. The release describes a career spent closer to vehicle manufacturing and operations than to dealership retailing. Before Goodyear, he was chief operating officer of North America for Stellantis and a member of that company's group executive council, leading a business with more than 88,000 employees and over $90 billion in revenue. He previously served as vice president for customer fulfillment at Amazon and held senior roles at ZF TRW Automotive, TRW and Tower Automotive.
The biographical detail is heavier than the financial detail in this filing, which is the point: the board added operating and manufacturing experience to a retailer whose business spans new and used vehicle sales, customer financing, parts and repair. Stewart also holds a bachelor's degree in electrical and electronics engineering from Vanderbilt University and an MBA from the University of Tennessee, Knoxville, is a member of Business Roundtable and previously served on the board of the Auto Alliance. The same release restates the company's self-description, including that its DRV PNK program has raised and donated over $50 million for cancer-related causes.
What the seat pays, and what the filing does not answer
The compensation disclosure is specific. Stewart will participate in AutoNation's non-employee director compensation program and receive an annual Board retainer of $50,000 for service on the board, prorated for 2026 based on time served during the year. He is also entitled to expense reimbursement for meeting attendance and will be eligible for future equity awards under the AutoNation, Inc. 2024 Non-Employee Director Equity Plan.
The filing is silent on several things a reader would reasonably ask about. It does not say which committees Stewart will join or when that decision will be made, and it does not explain why the board chose to expand to ten directors rather than fill an existing vacancy. It also does not address how the chief executive of a tire manufacturer sits on the board of a retailer that sells tires and parts, beyond stating that the board determined he qualifies as independent under AutoNation's corporate governance guidelines and the listing standards of the New York Stock Exchange.
The chairman's case for the appointment
Rick Burdick, the chairman of the AutoNation board, framed the addition around operating experience. "Mark is a proven global leader with deep experience across the automotive, manufacturing, technology, and consumer sectors," Burdick said, adding that Stewart's "strategic perspective, operational discipline, and track record of leading complex organizations through transformation will strengthen the Board as we continue to advance AutoNation’s strategy and deliver long-term value for our shareholders." Burdick's statement is the only quotation in the release; it contains no detail on committee work, meeting cadence or the timing of the next stockholder vote on directors.
A furnished exhibit, and the next document that would show the change
AutoNation furnished the announcement under Item 7.01 of Form 8-K, the Regulation FD disclosure item, which means the press release is not deemed filed for purposes of Section 18 of the Securities Exchange Act of 1934 and is not automatically incorporated by reference into the company's other filings. The report was signed by C. Coleman Edmunds, the company's executive vice president, general counsel and corporate secretary.
Because the seat was filled between annual meetings, the next governance document where the composition of the board would be set out is AutoNation's next proxy statement, which lists nominees for election as directors. Nothing in the filing states whether Stewart will stand for election at the next annual meeting or when his committee assignment will be settled, and no shareholder approval was sought for the appointment itself.
