AMPLLatest quote

Amplitude, Inc. appointed Vijaye Raji, who founded Statsig and now serves as CTO of Applications at OpenAI, to its board of directors on October 15, 2026, expanding the board from eight to nine seats, a 12.5% increase. Raji takes a newly created Class III seat that runs to the company's 2027 annual meeting, along with a place on the board's cybersecurity committee, with $30,000 in annual cash compensation for board service and $4,000 for the committee seat.

Amplitude disclosed the appointment in a Form 8-K filed October 15, 2026, reporting the board action under Item 5.02 and furnishing the accompanying announcement as Exhibit 99.1 under Item 7.01. The document is not a quarterly results report: it contains no revenue, earnings or guidance figures, and every dollar amount in it relates to director compensation. Raji founded Statsig in 2021 and, the release says, now serves as “CTO of Applications at OpenAI, leading Ads, Growth, and foundational data and engineering components”, after beginning his career at Microsoft working on developer tools and software platforms.

A ninth seat, and Statsig carried forward

Raji's directorship is new. The filing attributes his seat to “an increase in the size of the Board from eight to nine directors”, a 12.5% increase in the size of the board, and describes the seat as newly created. He serves as a Class III director, with an initial term expiring at the 2027 annual meeting of stockholders, and was also appointed to the board's cybersecurity committee. Statsig, the experimentation company Raji founded and led as chief executive, “continues as a platform and brand within Amplitude, carrying forward its mission to democratize data for teams and organizations of all sizes”, the release says. The appointment is the company's first board or officer change disclosure of this type since February 2026: among the ten most recent Form 8-K filings captured from EDGAR, the previous one reporting Items 5.02 and 7.01 was filed February 24, 2026. Amplitude's chief executive and co-founder, Spenser Skates, said in the release that “Vijaye built the world’s best experimentation platform, and I’m thrilled to have him on our board”. Raji called it continuity, saying he is “excited to help carry that mission forward with Spenser and the board as Amplitude and Statsig enter this next chapter together”.

What the seat costs

Amplitude pays non-employee directors on a standard schedule, and the filing spells out Raji's: $30,000 a year for board service plus $4,000 a year for the cybersecurity committee seat, $34,000 in total, each paid quarterly in arrears and prorated for the portion of days actually served. He also receives an initial award of restricted stock units worth $525,000, divided by the average closing price of Amplitude's Class A common stock over the most recent 30 trading days before the grant, vesting one-third on each anniversary of the grant date, and an annual award of $175,000 starting with the first annual meeting at which the initial award will be fully vested within 12 months. Raji may elect to take his annual cash compensation in RSUs and to defer them, and he is expected to enter the company's standard form of indemnification agreement. Because the awards are expressed as dollar values divided by a trailing average price, the number of shares is unknown until the grant date, which the filing does not give.

What the filing does not settle

The announcement is furnished rather than filed, and the filing states that information furnished under Item 7.01 is not deemed filed for purposes of Section 18 of the Exchange Act and is not incorporated by reference into other filings. Beyond that, the gaps matter. The filing does not say whether Raji will stand for election at the 2027 annual meeting, does not give a grant date or share count for his awards, and carries no measure of Statsig's contribution to Amplitude's financials. The only company-wide number is the “over 5,200 customers” in the release's description of the business, and it is a marketing statement rather than a filed metric. No trading data was captured for this article, so no share-price reaction is reported, and the desk found no consensus or analyst estimate to compare against. The dated item to watch is the 2027 annual meeting of stockholders, when Raji's initial Class III term expires.
