What “Source checked” means

AMETEK, Inc. (NYSE: AME) completed its previously announced acquisition of a portfolio of instrumentation businesses from Indicor, LLC, called Indicor Instrumentation in the close materials, in an all-cash transaction valued at $5.0 billion. The company said so on August 26, 2026, from Berwyn, Pennsylvania, in a press release furnished as Exhibit 99.1 to a Form 8-K (accession 0001037868-26-000191). This is a close, not a new announcement. The 8-K wrapper records that event under Item 8.01 Other Events.

What changed

Fact: The August 26, 2026 Form 8-K and furnished Exhibit 99.1 say AMETEK completed the previously announced all-cash purchase of Indicor Instrumentation from Indicor, LLC, valued at $5.0 billion. The Indicor Instrumentation businesses join AMETEK’s Electronic Instruments Group (EIG) and Electromechanical Group (EMG) based on product offerings and market alignment. Company claim: Indicor Instrumentation is expected to contribute approximately $350 million to AMETEK’s 2026 sales and is expected to be modestly accretive to AMETEK’s 2026 adjusted earnings. Those 2026 lines are company-said. This page does not print a GAAP cents figure. Analysis: The close release’s corporate profile prints AMETEK annualized sales of approximately $9.0 billion. That is the close-release print, not a restated quarter. The materials do not print a share-price reaction.

What they announced

The 8-K identifies the registrant as AMETEK, Inc., a Delaware corporation, with Common Stock, $0.01 par value, trading as AME on the New York Stock Exchange. Principal executive offices are 1100 Cassatt Road, Berwyn, Pennsylvania 19312. Date of Report (date of earliest event reported) is August 26, 2026. Robert J. Amodei, Senior Vice President – Controller, signed the 8-K the same day.

Item 8.01 says the company issued a press release announcing completion of its previously announced acquisition of a portfolio of instrumentation businesses from Indicor, LLC (“Indicor Instrumentation”), comprising leading businesses that design and manufacture mission-critical solutions for demanding industrial and scientific applications. A copy of the release is furnished as Exhibit 99.1.

The exhibit and the PR Newswire page match on the printed close facts used here: $5.0 billion all-cash; Indicor Instrumentation from Indicor, LLC; approximately $350 million of expected 2026 sales contribution; modestly accretive to 2026 adjusted earnings; businesses join EIG and EMG.

Indicor Instrumentation is described as a group of leading businesses that design and manufacture mission-critical solutions for demanding industrial and scientific applications. Its products, the release says, serve customers across attractive end markets that align closely with AMETEK’s existing portfolio and generate a substantial base of recurring revenue from consumables, services, and aftermarket support. Those are issuer words. This page does not convert them into a sales mix or a margin.

What management said

David A. Zapico, AMETEK Chairman and Chief Executive Officer, said: “We are excited to complete this highly strategic acquisition and to welcome the Indicor Instrumentation team to AMETEK. With its mission-critical solutions, deep technical expertise, and strong positions in attractive end markets, Indicor Instrumentation is an excellent fit with AMETEK. We also see meaningful opportunities to create value through integration into our proven operating model.”

That integration sentence is not a synergy dollar. This page does not invent one.

Why it matters

AMETEK is adding instrumentation businesses into the two groups it already reports: Electronic Instruments Group and Electromechanical Group. The close materials do not split the $5.0 billion, or the approximately $350 million of expected 2026 sales, between those groups.

The 2026 contribution is a remainder-of-year company estimate, not a run-rate and not a 2027 outlook. Modest accretion is stated on adjusted earnings only. There is no GAAP per-share figure on these pages.

The corporate profile on the same close release prints annualized sales of approximately $9.0 billion. It also says AMETEK was founded in 1930, has been listed on the NYSE for over 95 years, and is a component of the S&P 500. Those profile lines stay on the close release. They are not a new operating print.

What to watch

Whether a later filing restates consideration, names a close-accounting date other than August 26, 2026, or replaces the company-said 2026 sales and adjusted-earnings lines; whether AMETEK later splits Indicor Instrumentation contribution between EIG and EMG; a subsequent 10-Q that shows the acquired businesses in the statements. This page does not read an AME tape.

A close is not a new announcement

AMETEK said it completed a previously announced purchase. That is different from announcing a deal for the first time. The price on these pages is $5.0 billion in cash. The 2026 sales contribution is a company estimate, about $350 million, not a filed quarter.

Keep the $5.0 billion close, the approximately $350 million 2026 contribution, and the approximately $9.0 billion profile line on separate objects

Use $5.0 billion as all-cash consideration at close. Use approximately $350 million as company-said remainder-of-2026 sales contribution, not a run-rate. Modest accretion is 2026 adjusted earnings only; there is no GAAP per-share figure. Approximately $9.0 billion is the close-release annualized-sales profile. Do not read an AME tape.

What we do not know

This page does not invent an AME tape, a GAAP cents figure, a 2027 outlook, or a split of the $5.0 billion or the approximately $350 million of expected 2026 sales between EIG and EMG. It does not print May announcement multiples, Indicor sales, EBITDA, leverage, or synergy dollars. The approximately $9.0 billion annualized-sales line is the close-release corporate profile, not a restated quarter. Modest accretion is company-said on 2026 adjusted earnings only.
